Terms of Service

1. Who we are

Simple Assess is operated by Simple Assess Co., Ltd. (“we”, “us”, “the Service”). We curate, personalize, and provide Chinese-language lessons and related learning materials for learners. These Terms govern your access to and use of the Service, including any paid plans, assessments, lesson libraries, and personalization features.

By creating an account, purchasing access, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

The Service may include placement or progress assessments, curated lesson paths, personalized study recommendations, and digital lesson content. Features may change as we improve the product. The Service is educational support. It is not a school, not an accredited course, and not a substitute for formal instruction, examination bodies, or professional advice.

3. Eligibility and accounts

You must be able to form a binding contract in your place of residence. If you are under the age of majority where you live, a parent or legal guardian must agree to these Terms and supervise use. You are responsible for the accuracy of account information and for keeping login credentials confidential. You are responsible for activity under your account.

4. Purchases and billing

We sell both subscriptions and one-time packs. The plan you buy — subscription, one-time pack, or another option — is shown at checkout. Prices, currency, billing interval, and what is included are displayed before you pay. Payment is processed by our payment processor. We do not store full payment-card numbers on our servers.

Subscriptions renew automatically at the then-current price unless you cancel before the renewal date. You authorize us and the payment processor to charge the payment method on file for the initial purchase and each renewal until cancelled.

Taxes may be added where required. Failed payments may result in suspended access until the charge succeeds or the plan is cancelled.

5. Cancellation and refunds

Cancellation and refunds are described in our Refund & Cancellation Policy, which forms part of these Terms.

6. Acceptable use

You may use the Service only for lawful, personal or internal learning purposes. You must not:

• share, resell, scrape, or publicly redistribute lesson content except as we expressly allow;
• circumvent access controls, rate limits, or payment;
• upload malware, attempt unauthorized access, or disrupt the Service;
• use the Service to generate or distribute content that is unlawful, harassing, or infringing;
• misrepresent your identity to us, a payment processor, or other users.

We may suspend or terminate access if we reasonably believe these Terms were violated, a payment is disputed in bad faith, or continued use would harm the Service or other users.

7. Intellectual property

The Service, including assessments, lesson text, audio, structure, branding, and software, is owned by Simple Assess Co., Ltd. or its licensors. We grant you a limited, personal, non-transferable, revocable license to access purchased or entitled content during your active plan, solely for your own learning. We do not claim ownership of content you submit (for example answers or notes), but you grant us a license to use that content as needed to operate, personalize, and improve the Service.

8. Personalization and data

To curate and personalize lessons we process account data, assessment results, progress, and usage. How we handle personal data is described if and when a separate privacy notice is published; until then we process only what is needed to provide the Service, take payment, prevent abuse, and meet legal obligations. Do not submit sensitive personal data that the Service does not ask for.

9. Disclaimers

The Service is provided “as is” and “as available.” Learning outcomes vary. We do not guarantee a particular fluency level, exam score, admission result, or uninterrupted availability. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, Simple Assess Co., Ltd. and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or learning time. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the claim. Some jurisdictions do not allow certain limitations; in those places the limit applies only to the extent allowed.

11. Changes

We may update these Terms. The effective date above will change when we do. Continued use after an update means you accept the revised Terms. Material changes to paid plans will be described at checkout or by notice to the email on your account where practical.
